Terms of Service

1. About These Terms

These Terms of Service govern the provision of services by Plus Back Office. Service delivery is carried out from our Philippines operations at 17th Floor, Skyrise 4B, West Geonzon Street, Cebu IT Park, Cebu City 6000, Philippines.

By engaging our services you agree to these terms. If you have a separate written agreement with Plus Back Office that agreement takes precedence over these terms.

2. Our Services

Plus Back Office provides fully managed, office-based offshore back-office team services. This includes:

• Recruitment and selection of back-office staff
• Employment of staff in the Philippines under Philippine labour law
• Provision of office workspace in Cebu IT Park, Philippines
• Provision of company-managed desktop computers
• HR administration, payroll processing and compliance
• IT support and workstation maintenance
• Ongoing supervision and management of staff

3. Engagement and Fees

• Minimum team size is 2 office-based staff members
• Pricing is agreed in writing before engagement begins
• Monthly fees are invoiced in USD unless otherwise agreed in writing
• A one-time recruitment fee and setup fee apply per team member as set out in your agreement

4. Payment Terms

• Monthly fees are due within 14 days of invoice date
• One-time fees are due before recruitment commences
• Late payment may result in suspension of services
• All fees are non-refundable unless otherwise stated in writing

5. Replacement Guarantee

We offer a 3-week replacement guarantee. If a team member placed by Plus Back Office does not meet the agreed performance standards within the first 3 weeks of starting, we will recruit a replacement at no additional recruitment fee. This guarantee applies once per role placement.

6. Client Responsibilities

You agree to:

• Provide clear role requirements and documented processes
• Grant appropriate system access to your offshore team
• Manage work priorities and deliverables directly
• Treat offshore staff with respect and in accordance with agreed working arrangements
• Not solicit or directly employ Plus Back Office staff during the engagement or for 12 months after it ends

7. Intellectual Property

Work product created by your offshore team in the course of their duties for you belongs to you, unless otherwise agreed in writing.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. All Plus Back Office staff sign confidentiality agreements as part of their employment contracts. Client NDAs can be executed where required.

9. Data Protection

Each party is responsible for its own compliance with applicable data protection laws in its jurisdiction. Where you provide personal data to your offshore team for processing, you are responsible for ensuring this is done in accordance with applicable data protection regulations in your jurisdiction. A data processing agreement is available on request.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Plus Back Office's liability to you in connection with the services is limited to the fees paid in the 3 months preceding the claim. We are not liable for indirect, consequential or special damages.

11. Termination

Either party may terminate the engagement by giving 30 days written notice unless otherwise agreed in writing. On termination, outstanding fees become immediately payable. We will manage the offboarding of staff in accordance with Philippine employment law.

12. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise agreed in writing between the parties. Clients in Australia and the United States acknowledge that Plus Back Office Ltd is a UK-registered entity and agree to English law as the governing law for this agreement.

13. Changes to These Terms

We may update these terms from time to time. We will notify active clients of material changes. The current version is always available at plusbackoffice.com/terms-of-service
